Section 1 — Acceptance
By accessing or using the Axys Analysis platform, you agree to these Terms of Service on behalf of yourself and the organisation you represent. If you do not agree, do not use the platform.
Section 2 — Description of service
Axys Analysis provides a B2B SaaS platform for cognitive screening and structured candidate assessment. The platform generates role-specific assessments from job descriptions and produces weighted scorecards for hiring teams. The platform is available directly to hiring organisations and, where authorised under Section 5A below, to staffing and recruiting agencies acting on behalf of hiring organisations.
Section 3 — Eligibility
You must be at least 18 years old and have authority to bind your organisation to these terms. The platform is intended for business use only.
Section 4 — Geographic restrictions
This platform may not be used for employment decisions regarding candidates located in New York City, New York. Use of this platform in connection with hiring decisions for New York City-based roles is expressly prohibited pending compliance with Local Law 144 of 2021 (NYC Automated Employment Decision Tools law). Axys Analysis reserves the right to suspend accounts found to be in violation of this restriction.
Section 5 — Accounts and access
5.1
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
5.2
You must notify us immediately of any unauthorised access at security@axysanalysis.com.
5.3
We reserve the right to suspend or terminate accounts that violate these terms.
Section 5A — Agency access
5A.1
A Customer may authorise a third party — including a staffing or recruiting agency — to access and use the Services on the Customer's behalf (“Authorised Agency”). The Customer remains the sole Controller (as defined in the Data Processing Agreement) of any candidate personal data processed through such access.
5A.2
The Customer is solely responsible for (a) the scope of authority it grants to an Authorised Agency, (b) ensuring that authorisation is itself lawful under applicable law, and (c) any agreement between the Customer and the Authorised Agency governing that access. Axys Analysis is not a party to, and assumes no responsibility for, the relationship between a Customer and an Authorised Agency.
5A.3
An Authorised Agency accessing the Services on a Customer's behalf agrees to comply with these Terms of Service, the Data Processing Agreement, and all applicable law to the same extent as the Customer, with respect to that Customer's data.
5A.4
Depending on account configuration, an Authorised Agency's personnel may have access to candidate data across multiple Customer accounts linked to that agency. The Customer acknowledges and accepts this access model as a condition of authorising an Authorised Agency.
Section 6 — Acceptable use
You agree not to:
- Use the platform for any unlawful purpose
- Use the platform to discriminate unlawfully against candidates
- Attempt to reverse-engineer, decompile, or extract source code
- Resell or sublicense access without written permission
- Use the platform to assess candidates for New York City-based roles (see Section 4)
- Upload content that infringes third-party intellectual property rights
- Attempt to circumvent security controls, rate limits, or access restrictions
Section 7 — Candidate data and compliance
7.1
You are the data controller for candidate data collected through your use of the platform. You are responsible for obtaining any consents required by applicable law before administering assessments to candidates.
7.2
You must provide candidates with accurate information about the assessment process, including that an automated tool is used to generate scores.
7.3
You agree not to use assessment results as the sole basis for employment decisions without human review.
7.4
You are responsible for compliance with all applicable employment and data protection laws in your jurisdiction.
Section 8 — Billing and payments
8.1
Subscription fees are billed in advance on a monthly basis. Annual billing is not currently offered.
8.2
Overages: each job has a monthly assessment cap per your plan. Assessments beyond the cap are subject to overage charges as described in your plan details.
8.3
All fees are non-refundable except as required by law.
8.4
We reserve the right to change pricing with 30 days notice to active subscribers. Prices are locked for active subscribers for the duration of their active subscription; resubscribing after cancellation is subject to then-current pricing.
Section 9 — Intellectual property
9.1
Axys Analysis retains all rights to the platform, including software, designs, prompts, and scoring models.
9.2
You retain all rights to your data, including job descriptions and candidate data uploaded to the platform.
9.3
You grant Axys Analysis a limited licence to process your data solely to provide the services described in these terms.
9.4
Assessment questions generated by the platform are provided for your internal hiring use only and may not be resold or distributed.
Section 10 — Confidentiality
Each party agrees to keep the other's confidential information confidential and not to disclose it to third parties without prior written consent, except as required by law.
Section 11 — Disclaimers
The platform is provided “as is”. We do not warrant that the platform will be uninterrupted, error-free, or that assessment results will predict job performance. Assessment scores are one input into hiring decisions and should be used alongside other evaluation methods.
Section 12 — Limitation of liability
To the maximum extent permitted by law, Axys Analysis's total liability to you for any claim arising out of or related to these terms or the platform shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
Section 13 — Indemnification
You agree to indemnify and hold harmless Axys Platforms LLC and its officers from any claims, damages, or expenses (including legal fees) arising from your use of the platform, your violation of these terms, or your violation of any applicable law.
Section 14 — Governing law
These terms are governed by the laws of the State of Indiana, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Indiana.
Section 15 — Changes to terms
We may update these terms at any time. We will notify active subscribers by email at least 30 days before material changes take effect. Continued use of the platform after the effective date constitutes acceptance of the updated terms.
